Standard Terms & Conditions

Agreement Overview

These Standard Terms and Conditions ("Terms") govern all services provided by Black Oak Engineering ("Company"), located at [Insert Company Address], to its clients ("Client"). By engaging our services, the Client agrees to abide by these Terms. Any additional agreements must be in writing and signed by both parties.

Scope Of Services

Fees And Payment Terms

Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary information shared during the course of the engagement. This obligation shall survive the termination of the agreement.

Intellectual Property

All work products created by Black Oak Engineering, including designs, reports, and other deliverables, shall remain the property of the Company unless otherwise agreed in writing. The Client is granted a limited license to use the deliverables solely for their intended purpose.

Warranties And Disclaimers

7.1 Company Warranty: Black Oak Engineering warrants that its services will be performed in a professional and workmanlike manner.

 

7.2 Disclaimer: Except as expressly stated, the Company makes no other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

Liability

8.1 Limitation of Liability: Black Oak Engineering’s liability for any claims arising from its services is limited to the amount paid by the Client for those services.

 

8.2 Indemnification: The Client agrees to indemnify and hold harmless Black Oak Engineering from any claims, damages, or expenses arising from the Client’s use of the services or deliverables.

Termination

Either party may terminate the agreement with [Insert Notice Period, e.g., "30 days"] written notice. The Client is responsible for payment of all services rendered up to the date of termination.

Entire Agreement

These Terms, along with any signed contracts or proposals, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
